1. About Ongati
Ongati is a software platform for business pages and permanent QR codes, services and availability, online booking and waitlists, customer and appointment records, supported reviews, customer communications, calendar connections, and supported contact or Wallet-pass links. Ongati is operated by Zeptonic Solutions LLC, doing business as Ongati, in Virginia, United States.
2. Eligibility
You must be at least 18 or the age of majority where you live, have authority to enter a binding agreement, provide accurate information, and use the Services only for lawful business purposes.
3. Your account
You are responsible for accurate account information, protecting credentials, account activity, and ensuring authorized users follow these Terms. Tell us promptly if you suspect unauthorized access.
4. Plans and provider pricing
Free is a permanent $0 plan, not a trial. It requires no card and supports one business location and one bookable provider. It includes the business page, permanent QR, supported Apple Wallet and Google Wallet business QR passes, online booking, waitlist, customer and appointment history, basic reviews, and the email allowance in Section 6.
Solo costs $20 monthly or $200 yearly for one location and one included bookable provider. It includes Free plus supported two-way Google and Outlook calendar sync, manual appointment approval, related-service recommendations, 1,000 transactional emails per UTC month, and Communication Wallet access. Each additional bookable provider costs $10 monthly on monthly Solo or $100 yearly on annual Solo. Whenever more than one provider is bookable, the customer may choose one or use availability-aware No preference assignment.
Growth costs $45 monthly or $450 yearly for one location and up to six included bookable providers. It includes Solo plus advanced staff scheduling, individual working hours, custom breaks, 5,000 transactional emails per UTC month, and priority support. Each bookable provider from number seven onward costs $8 monthly on monthly Growth or $80 yearly on annual Growth.
Custom is a sales-assisted or invoiced arrangement for supported larger, multi-location, or negotiated-volume needs. It is not self-service unless Ongati expressly offers that option.
Calendar Sync requires a supported, connected provider. Communication Wallet funding requires ready Stripe. SMS requires a supported, ready sender route, applicable consent and preferences, and sufficient Wallet credit. Apple Wallet and Google Wallet passes require supported provider configuration.
Stripe Checkout displays the selected base plan, provider add-on quantity, interval, recurring total, and applicable taxes before purchase. Provider add-ons ordinarily use the same interval as the base plan. Ongati does not silently move a business between Solo and Growth, and does not automatically change a legacy subscription.
An eligible new paid Solo business may receive one nonrecurring USD $5 promotional Communication Wallet credit after Stripe verifies its first qualifying paid invoice. An eligible new paid Growth business may instead receive USD $10. The bonus is limited to one per legitimate business and payment identity and is not repeated after cancellation, reactivation, provider changes, interval changes, or plan switching. Invitations, trials, Complimentary arrangements, managed demos, duplicate accounts, disputed or refunded payments, and ineligible activity do not qualify. Historical $3 grants remain governed by the earlier accepted offer and are not rewritten.
5. Renewal, plan changes, and cancellation
Solo and Growth automatically renew for the monthly or yearly interval selected until canceled. By subscribing, you authorize the displayed recurring charge. Adding or removing a provider or changing plan or interval can create a prorated charge or credit. Ongati displays the current recurring amount, provider charge, new recurring total, and a Stripe estimate before confirmation where supported. Stripe recalculates the final amount when the change is confirmed.
You may cancel online from Plan & billing. Cancellation normally takes effect at the end of the prepaid period and stops the next renewal. Cancel before the renewal date shown in Ongati or Stripe. Cancellation does not automatically create a refund for the current period unless law requires one.
6. Communication allowances
Free includes 100, Solo includes 1,000, and Growth includes 5,000 provider-accepted transactional emails per UTC calendar month. A provider-accepted email counts even if later delayed or rejected; a definite failure before acceptance releases the reservation. Ongati warns around 80% and 100%. The allowance refreshes monthly and plan changes do not erase earlier usage.
After Free uses its 100 included emails, further transactional email pauses until the next UTC month or an upgrade. Free does not have an additional email allowance and cannot use Communication Wallet credit for overage. After a paid allowance is used, eligible email uses prepaid Wallet credit at the dashboard rate. Free has no SMS. Supported Solo and Growth SMS uses Wallet credit from the first SMS and remains subject to routing, sender readiness, consent, preferences, and sufficient funds.
7. Communication Wallet
The Communication Wallet is only for Ongati client communications. It is separate from customer booking payments, business revenue, deposits, and customer purchases. Wallet balances, rate snapshots, charges, promotional grants, refunds, and liabilities are recorded separately.
On Free, an existing Wallet balance and history remain preserved and read-only; the balance is not spent and new top-ups are unavailable. On an eligible paid or approved complimentary entitlement, supported Wallet funding and sending may resume. Automatic recharge is optional and requires express owner authorization.
If separately accepted, Ongati may let scheduled appointment reminders—and no other paid messages—use a small capped grace liability when prepaid credit is exhausted. The default cap is $2.00, is shown separately, and is settled by the next recharge or credit. Other messages wait for funds. Promotional credits have no cash value and generally are not withdrawable, transferable, refundable, or usable outside supported Ongati communications.
8. Payment processing
Stripe processes paid subscriptions and supported Wallet payments. Ongati does not store complete card information. Stripe may provide its own Checkout, invoice, payment-method, proration, and cancellation records. Ongati does not currently collect the business customer’s underlying appointment payment or deposit through the ordinary launch booking flow.
9. Business responsibility
Businesses are responsible for their services, prices, availability, information, customer communications, taxes, licenses, and legal compliance. Ongati provides software and does not operate the business.
10. Customer data
Businesses retain ownership of customer data they store in Ongati and authorize Ongati to process it to provide the Services. Businesses must collect and use it lawfully. Internal business records are not public merely because they exist in Ongati.
11. Acceptable use
You may not use Ongati for unlawful, fraudulent, abusive, deceptive, infringing, harmful, or unsolicited activity; interfere with security or operation; reverse engineer except where law permits; scrape or access data without authorization; or evade billing, consent, account, provider, or usage safeguards.
12. Communications and customer consent
You are responsible for lawful consent and honoring customer choices. STOP and equivalent opt-out behavior takes precedence where applicable. Ongati may block, suppress, or hold a message when consent, sender, route, provider, account, entitlement, rate, or Wallet requirements are not met.
13. Third-party services
The Services may rely on Stripe, email and SMS providers, Apple, Google, Microsoft, calendar services, hosting, and other providers. Their terms and availability also apply. Ongati cannot guarantee that an external provider accepts or completes an action.
14. Intellectual property
Ongati and its software, branding, designs, and documentation are owned by Zeptonic Solutions LLC or its licensors. These Terms give you a limited, revocable right to use the Services and do not transfer ownership.
15. Your content
You retain rights in content you submit and grant Ongati the rights reasonably needed to host, process, display, transmit, secure, and back it up for the Services. You represent that you have the necessary rights and that your content is lawful and accurate.
16. Availability
We work to keep Ongati available but do not guarantee uninterrupted or error-free service. Maintenance, security work, providers, networks, force majeure, and other circumstances may affect availability. External features remain subject to their independent readiness gates.
17. Data retention after downgrade
When paid access ends at period close, the business returns to Free. Its business page, permanent QR, core Calendar & Booking, Wallet balance and history, customers, reviews, appointments, customer records, and historical billing evidence are not deleted merely because the paid plan ended. Bookable providers above Free’s allowance are archived or deactivated rather than deleted; non-bookable staff and historical team records remain. Individual provider hours and custom breaks, external Calendar Sync, manual approval, recommendations, SMS, paid email overage, Wallet top-ups, and other paid-only operations pause as applicable.
18. Suspension and termination
We may restrict or terminate access for material violations, fraud, abuse, security risk, legal requirements, or nonpayment. Where appropriate we may provide notice. Nonpayment normally pauses paid entitlement or returns the business to Free; it does not itself require deletion of retained Free presence or history.
19. Limitation of liability
To the fullest extent permitted by law, Ongati is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, goodwill, or opportunities. Our aggregate liability for a claim will not exceed amounts you paid Ongati for the Services during the twelve months before the event giving rise to the claim, except where law does not permit that limit.
20. Indemnification
You agree to defend and indemnify Ongati and its affiliates, officers, employees, and agents from third-party claims arising from your business, content, communications, unlawful use, or violation of these Terms or applicable law.
21. Changes to the Services
We may improve, change, pause, or discontinue features. We will provide notice and obtain consent where required before a change alters an accepted recurring price. Code presence alone does not promise public availability.
22. Changes to these Terms
We may publish a new version of these Terms. Material changes apply prospectively with notice or consent as required. Historical payments, credits, invitations, and subscription evidence remain governed by the versions accepted for them.
23. Governing law
These Terms are governed by Virginia law, without regard to conflict-of-law principles, except where mandatory consumer or local law applies.
24. Severability
If part of these Terms is unenforceable, it will be limited or removed only as needed and the remaining provisions continue in effect.
25. Entire agreement
These Terms, the Privacy Policy, accepted plan or Wallet terms, and any written order or invitation form the agreement for the Services and replace prior discussions about the same subject. A specific accepted written offer controls over a conflicting general term for that offer only.
