1. About Ongati

Ongati is a Software-as-a-Service (SaaS) platform that enables businesses to:

• Create professional business pages
• Accept online bookings
• Manage appointments
• Organize customer information
• Manage staff
• Process payments through supported providers
• Send customer notifications
• Build their online presence
• Operate and grow their business

2. Eligibility

To use Ongati you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have the legal authority to enter into binding agreements.
• Provide accurate and complete registration information.
• Use the Services only for lawful business purposes.

3. Your Account

You are responsible for:

• Maintaining accurate account information.
• Protecting your login credentials.
• All activity occurring under your account.
• Ensuring authorized users comply with these Terms.

You agree to notify us immediately if you suspect unauthorized access to your account.

4. Subscription Plans

Ongati operates on a subscription model.

Subscription plans may include:

• Monthly billing
• Annual billing
• Per-user pricing
• Feature-based plans
• Enterprise plans

Subscription pricing is displayed before purchase.

Taxes may apply depending on your location.

5. Automatic Renewal

Unless cancelled before the renewal date, subscriptions automatically renew for the same billing period.

By subscribing, you authorize Ongati to charge your selected payment method until cancelled.

You may cancel your subscription at any time through your account settings.

Cancellation prevents future renewals but does not automatically entitle you to refunds for the current billing period unless required by law.

6. Communication Charges

Subscription fees do not include communication usage.

Businesses using Ongati's communication services may incur separate charges for:

• SMS notifications
• Email delivery
• Future messaging services such as WhatsApp
• Voice communications (if supported)
• Other communication channels introduced in the future

Communication charges are billed based on actual usage and applicable rates.

Current pricing is available within the Ongati dashboard.

7. Communication Wallet

Certain communication services require businesses to maintain a prepaid Communication Wallet.

Communication credits are deducted as services are used.

Businesses are responsible for maintaining sufficient wallet balances to avoid interruption of communication services.

If the Communication Wallet balance reaches zero:

• SMS delivery may stop.
• Email delivery may stop.
• Automated notifications may be paused until additional credits are added.

Unused communication credits are generally non-refundable except where required by applicable law.

8. Payment Processing

Payments are processed by third-party payment providers.

By making a payment, you authorize the payment processor to charge your selected payment method.

Ongati does not store complete payment card information.

9. Business Responsibility

Businesses are solely responsible for:

• Their products and services.
• Pricing displayed to customers.
• Appointment availability.
• Business information.
• Customer communications.
• Taxes.
• Legal compliance.
• Required licenses.

Ongati provides the platform but is not responsible for the operation of your business.

10. Customer Data

This includes:

• Customer information
• Booking history
• Reviews
• Communications
• Uploaded files
• Business content

Ongati receives a limited license to store, process, back up, and display this information solely for the purpose of providing the Services.

11. Acceptable Use

You agree not to use Ongati to:

• Send spam.
• Distribute malware.
• Conduct fraudulent activity.
• Violate intellectual property rights.
• Upload illegal content.
• Harass others.
• Attempt unauthorized access.
• Reverse engineer the platform.
• Circumvent security measures.
• Interfere with platform performance.
• Send unsolicited bulk communications.
• Engage in unlawful or deceptive business practices.

Violation of these Terms may result in suspension or termination of your account.

12. Communications and Customer Consent

Businesses are responsible for obtaining all necessary permissions and consents before sending communications to customers.

By using Ongati's communication features, you represent and warrant that you have the legal right to contact your customers through the selected communication channels.

Ongati is not responsible for communications sent in violation of applicable laws or regulations.

13. Third-Party Integrations

Ongati may integrate with third-party services including, but not limited to:

• Payment processors
• Email providers
• SMS providers
• Calendar services
• Mapping services
• Accounting software
• CRM systems
• Artificial intelligence providers

These services are governed by their own terms and privacy policies.

Ongati is not responsible for the availability, performance, or actions of third-party providers.

14. Intellectual Property

Ongati and all associated software, branding, logos, designs, documentation, code, graphics, and technology remain the exclusive property of Zeptonic Solutions LLC or its licensors.

You may not:

• Copy
• Modify
• Distribute
• Resell
• Reverse engineer
• Create derivative works

without our prior written permission.

15. Your Content

You retain ownership of:

• Logos
• Images
• Business descriptions
• Uploaded documents
• Customer information
• Marketing materials

By uploading content, you grant Ongati a limited, non-exclusive license to host, display, process, and back up that content solely to provide the Services.

16. Service Availability

We strive to provide a reliable and secure platform.

However, Ongati does not guarantee uninterrupted or error-free operation.

Services may be temporarily unavailable due to:

• Maintenance
• Updates
• Security incidents
• Third-party outages
• Internet failures
• Circumstances beyond our reasonable control

17. Beta Features

From time to time, Ongati may offer beta or experimental features.

These features are provided "as is" and may change, be modified, or be discontinued at any time without notice.

18. Suspension and Termination

We may suspend or terminate accounts that:

• Violate these Terms.
• Engage in fraudulent activity.
• Abuse the platform.
• Fail to pay subscription fees.
• Fail to maintain required communication balances for communication services.
• Present security risks.
• Engage in illegal activity.

Where appropriate, we may provide notice before termination, but we reserve the right to suspend access immediately where necessary to protect the platform, other users, or comply with legal obligations.

19. Limitation of Liability

To the fullest extent permitted by law, Ongati, Zeptonic Solutions LLC, its officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the Services.

Our total liability for any claim shall not exceed the amount paid by you to Ongati during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Ongati and Zeptonic Solutions LLC from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Services.
• Your business operations.
• Your content.
• Your communications with customers.
• Your violation of these Terms or applicable law.

21. Changes to the Services

We reserve the right to:

• Add features.
• Modify features.
• Remove features.
• Introduce new pricing.
• Update subscription plans.
• Discontinue parts of the Services.

Material changes affecting your subscription or rights will be communicated where required.

22. Changes to These Terms

We may revise these Terms from time to time.

Updated Terms become effective on the date specified at the top of this page.

Your continued use of Ongati after changes become effective constitutes acceptance of the revised Terms.

23. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved in the state or federal courts located in Virginia, unless otherwise required by applicable law.

24. Severability

If any provision of these Terms is determined to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional agreements applicable to specific Services, constitute the entire agreement between you and Ongati regarding your use of the Services.
